XP MSI Install Issue

I've checked the permissions on the msi file and
SYSTEM has full control. I moved the file to c:\
where there is another .msi file that I can
successfully execute. I've also tried revoking
SYSTEM's privileges and regranting them.

I've downloaded the msi file multiple times from
multiple mirrors. The msi file is located on a local
drive.

I appreciate your help as I'm stumped.
