Upgrading 1.1 to 1.2.3

We run 1.1 Win32 server and Client.

I just want to get an idea how easy is it to upgrade?

Will users have to get a fresh tree after the upgrade?
Will users have to immediately upgrade svn client (i.e. is it backward
compatible)?
