Funny, when I ran the MSI CleanUp Utility - it showed me nothing.....No
error, no results, no prompting, no buttons....it ran then exited..... I
had assumed it did eveything that it needed to.

It installs fine for me. Sounds like your Win2K Pro install is
corrupt
somehow; I had gotten that same error while trying to install SQL
Server
2005 Express Edition on a Windows XP Home SP2 system a few months
back. If I
recall correctly, I had to download and run the Windows Installer
CleanUp
Utility and remove the MSXML 6
entry. You mention that you "ran the MSI clean up tool," but that's
extremely vague. Is the "MSI clean up tool" the "Windows Installer
CleanUp
Utility"? If so, what did you do besides run it? Simply running it
doesn't
actually do anything except show you a list of installed applications
and
components. You have to actually click buttons for it to do
something.
