The old version *is* deinstalled prior to installing the new version.
What you see is that while the old version is removed, the dlls which
are loaded in memory are still in use. While the OS can remove those
even if they're in use, the installer gives you the chance to first
close those. Just click on "ignore" and the installation will go fine.
Of course, you must reboot after the upgrade (because the desktop still
has the old dlls loaded in memory and will only reload the new ones on
startup).

Besides that: since you're running Vista, you should consider installing
a nightly build. Only there we have some problems fixed with Vista. See
